Preamble

These Terms and Conditions (hereinafter "T&C") govern all transactions carried out on the online store www.keepmemoriz.com, operated by KeepMemoriz FZ-LLC, a company registered in Dubai, United Arab Emirates.

By placing an order on this website, the buyer (hereinafter "the Customer") acknowledges having read these T&C and having accepted them without reservation. These T&C prevail over any other document from the Customer.

These T&C are drafted in accordance with the provisions of the Federal Decree-Law No. 14 of 2023 on Trade Through Modern Technology Means, the Federal Law No. 15 of 2020 on Consumer Protection, and the Cabinet Decision No. 66 of 2023 on the executive regulations of the consumer protection law.

International trade: These T&C apply to all customers residing outside the United Arab Emirates. The mandatory rights that the Customer benefits from in their country of residence cannot be excluded by these T&C. In case of conflict between these T&C and a mandatory provision of the Customer's local law, the latter prevails to the extent that it is more favorable.

Article 1Purpose and scope

These T&C define the rights and obligations of the parties in the context of the online sale of products and services offered by KeepMemoriz FZ-LLC, namely:

Digital event photo galleries with personalized QR code
Printable QR posters sent by email in digital format
Platform access for photo collection and sharing (app.keepmemoriz.com)
Any other digital service described on the site at the time of order

The products sold are exclusively digital goods and services delivered electronically. No physical goods are shipped, unless explicitly stated otherwise at the time of order.

Article 2Contract formation

The sales contract is formed in three steps:

Product selection by the Customer on the website
Cart validation and entry of personalization information
Payment and confirmation, the sending of an order confirmation email constitutes definitive acceptance of the contract

In accordance with Article 5 of Federal Decree-Law No. 14/2023, the buyer receives a written confirmation of the transaction (automatic email) including the order summary, the price paid, the product specifications, and the access details.

KeepMemoriz FZ-LLC reserves the right to refuse or cancel any order showing signs of fraud or violation of these T&C.

Article 3Prices and payment terms

Prices

The prices displayed on the site are in euros (EUR), inclusive of all applicable taxes for the territory of sale, unless otherwise stated. In accordance with UAE law and consumer protection, the invoiced price may not exceed the advertised price at the time of order (Article 11, Federal Law No. 15/2020).

Prices may vary depending on current promotions. Any promotion clearly displays its validity period. KeepMemoriz FZ-LLC reserves the right to modify its prices at any time; modifications do not apply to orders already confirmed.

Apple Pay / Google Pay (subject to regional availability)

Payment is secured by SSL/TLS encryption, processed by certified payment providers (Shopify Payments, Stripe, PayPal). KeepMemoriz FZ-LLC does not store the Customer's banking data.

Applicable VAT

For customers in the United Arab Emirates, a 5% VAT applies in accordance with Federal Decree-Law No. 8/2017. For EU customers, the applicable VAT in the destination country may apply in accordance with the EU OSS/IOSS rules. For other countries, local taxes are the Customer's responsibility.

Article 4Delivery of digital products

As the products sold by KeepMemoriz are digital goods and online access services, "delivery" means electronic provision:

In the event of non-receipt of the confirmation email within 24 hours, the Customer should check their spam folder, then contact contact@keepmemoriz.com. KeepMemoriz undertakes to resolve the situation within 48 business hours.

Article 5Warranty and conformity

In accordance with Article 13 of Federal Law No. 15/2020 and Cabinet Decision No. 66/2023, KeepMemoriz guarantees that its services conform to the description published on the website and the announced technical specifications.

Operating warranty

The gallery is accessible via the provided link for the entire access duration stated on the product page (6 months)
The generated QR code is functional and tested before delivery
In case of a technical defect attributable to KeepMemoriz, a correction or free replacement is carried out within a reasonable timeframe

Limitations

The warranty does not cover malfunctions resulting from:

Use of the service outside of normal usage conditions
An unstable internet connection or an incompatible browser
Third-party modifications or interactions with unauthorized services

Article 6Right of withdrawal and refund

KeepMemoriz offers a 30-day satisfaction guarantee on all its products, in accordance with its commercial commitments and the provisions of Federal Law No. 15/2020.

Customers residing in France and the European Union

In accordance with the mandatory provisions of Directive 2011/83/EU transposed into French law (Articles L.221-18 et seq. of the Consumer Code), individual Customers have a 14-day period from the order to exercise their right of withdrawal, subject to applicable exceptions for digital content whose performance was expressly requested before the expiration of the withdrawal period and for which the Customer expressly waived their right of withdrawal.

Important, Our commitment: Regardless of the legal right of withdrawal, KeepMemoriz applies its 30-day commercial guarantee without mandatory justification for all customers worldwide. See our Refund Policy for details.

Article 7Customer obligations

The Customer undertakes to:

Provide accurate and complete information at the time of ordering
Use the service within the legal framework and not divert it for fraudulent purposes
Not share gallery access outside the intended circle (event guests)
Not publish on the gallery any unlawful, defamatory content, content infringing on the rights of third parties or contrary to public decency
Respect the applicable religious and cultural values in accordance with Article 8 of Federal Decree-Law No. 14/2023

KeepMemoriz reserves the right to suspend or delete access in the event of a confirmed violation, without refund.

Article 8Liability

KeepMemoriz FZ-LLC undertakes to provide its services with all due care and reasonable diligence. However, its liability cannot be engaged for:

Service interruptions due to scheduled maintenance (announced with prior notice)
Failures of third-party providers (hosting providers, payment service providers)
Data losses resulting from a force majeure event
Indirect, intangible, or consequential damages

In any event, the liability of KeepMemoriz FZ-LLC is limited to the amount paid by the Customer for the order concerned.

The Customer remains solely responsible for the content they publish or have published in the gallery, and for the image rights of photographed individuals.

Article 9Force majeure

No party may be held liable for a failure to fulfill its contractual obligations resulting from a force majeure event, unforeseeable and irresistible under UAE law (natural disaster, act of terrorism, government decision, global internet outage, etc.). The affected party shall inform the other party as soon as possible, and obligations are suspended for the duration of the event.

Article 10Personal data protection

The processing of personal data collected during the order is governed by our Privacy Policy, accessible on the website, and compliant with the Federal Decree-Law No. 45 of 2021 on Personal Data Protection (PDPL) UAE.

In accordance with Article 7 of Federal Decree-Law No. 14/2023, KeepMemoriz undertakes to protect the confidentiality and security of the Customer's data and not to use such data for promotional purposes without an appropriate legal basis.

Media storage in the European Union: Photos and videos shared via event galleries are stored exclusively on servers located in the European Union, providing the highest level of protection in accordance with the GDPR, regardless of the Customer's country of residence. No transfer of media to third countries takes place.

Article 11Applicable law and dispute resolution

These T&C are governed by the laws of the United Arab Emirates, and in particular the laws applicable in the Emirate of Dubai.

In case of dispute, the Customer may:

Contact KeepMemoriz directly at contact@keepmemoriz.com for an amicable resolution
Refer the matter to the competent consumer protection authorities in their country of residence
For EU customers: use the Online Dispute Resolution (ODR) platform of the European Commission: ec.europa.eu/consumers/odr

Failing amicable resolution, the competent courts of Dubai (UAE) shall have exclusive jurisdiction, subject to mandatory contrary provisions applicable in the consumer's country of residence.

Mandatory provision: These provisions apply without prejudice to the legal rights that the Customer enjoys under the law of their country of residence (including European consumer law for EU customers). In case of conflict between a provision of these T&C and a mandatory provision of the Customer's local law, the more favorable provision prevails.
